Creation of a Direct Financial Obligation or an Obligation Under an Off- Balance Sheet Arrangement of a Registrant.

On January 7, 2016, Echo Therapeutics, Inc. (the “Company”) issued promissory notes to Medical Technologies Innovation Asia, Ltd. in the aggregate principal amount of $150,000 for 3 separate loans of $50,000. The promissory notes, which bear interest at the prime rate, are due on the earlier of the consummation of certain financings or thirty days after the date thereof. The noteholder maintains an exchange right into certain future financings.
The description of the promissory notes set forth herein does not purport to be complete and is qualified in its entirety by reference to the form of promissory note, a copy of which is attached hereto as Exhibit 10.1 and incorporated herein by reference.
