Item 8.01 Other Events.

Closing of Offering to Independent Broker Dealer Network

Corporate Capital Trust, Inc. (the “Company”) has determined that investment in the common stock of the Company will now be closing on or about February 12, 2016 to investors who purchase shares through the independent broker-dealer channel. The Company also determined that after the date of such closing, the offering of the Company’s common stock will remain open to investors who purchase through the registered investment advisor channel. Following the closing of the offering to investors who purchase shares through the independent broker-dealer channel, the Company expects that, subject to the discretion of the Company’s board of directors (the “Board”) and applicable law:

 

    it will continue to conduct quarterly tender offers pursuant to its share repurchase program;

 

    distributions will be declared and paid on a monthly basis, as determined by the Board; and

 

    the Company’s distribution reinvestment plan will remain in effect, and participating stockholders will be able to reinvest distributions at a per share price equivalent to 90% of the public offering price pursuant to the effective registration statement at the time of purchase.
