Item 2.03
Creation of a Direct Financial Obligation or an Obligation Under an Off- Balance Sheet Arrangement of a Registrant.

On December 31, 2015, Echo Therapeutics, Inc. (the “Company”) issued a promissory note to Platinum Partners Value Arbitrage Fund, L.P. in the aggregate principal amount of $150,000.  The Company also issued a promissory note to each of Beijing Yi Tang Bio Science & Technology, Ltd. in the aggregate principal amount of $80,000 and Medical Technologies Innovation Asia, Ltd. in the aggregate principal amount of $100.000, in each case, in respect of funds previously received by the Company from such parties.  The promissory notes, which bear interest at the prime rate, are due on the earlier of the consummation of certain financings or thirty days after the date thereof.  The noteholders maintain an exchange right into certain future financings.

The description of the promissory notes set forth herein does not purport to be complete and is qualified in its entirety by reference to the form of promissory note, a copy of which is attached hereto as Exhibit 10.1 and incorporated herein by reference.
