Item 8.01 Other Events
On December 29, 2015, Echo Global Logistics, Inc. (the “Company”) announced that its Board of Directors has approved a repurchase program for up to an aggregate of $50 million of the Company’s outstanding common stock and 2.50% convertible senior notes due 2020, through December 31, 2017. The timing and amount of any repurchases will be determined based on market conditions and other factors, and the program may be discontinued or suspended at any time. Repurchases will be made in compliance with SEC rules and other legal requirements.
A copy of the press release relating to the Company’s repurchase program is attached as Exhibit 99.1 to this Current Report on Form 8-K.
