Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 21, 2015, Mr. Lance Leonard tendered his immediate resignation from the Board of Directors of True Drinks Holdings, Inc. (the “Company”), as well as his resignation as the Company’s Chief Executive Officer, effective January 15, 2016. Mr. Leonard’s resignation is not due to any disagreements with the Company on any matter relating to its operations, policies or practices.
Following Mr. Leonard’s resignation, Mr. Kevin Sherman, the Company’s Chief Marketing Officer and member of the Company’s Board of Directors, has agreed to assume the role of interim Chief Executive Officer as of January 15, 2016. Mr. Sherman has served in the role of Chief Marketing Officer since October 2012, and was appointed as a director in September 2015. Except as otherwise disclosed herein, there are no related party transactions between the Company and Mr. Sherman that would require disclosure under Item 404(a) of Regulation S-K.
