Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 18, 2015, David Crane notified the Board of Directors (the “Board”) of NRG Yield, Inc. (the “Company”) of his decision to resign as a director of the Company effective immediately.  Mr. Crane has been a member of the Board since the Company’s formation in December 2012.  Mr. Crane’s resignation was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
