Announces Closing of Underwriters’ Purchase Option

YORK, Pa. – Codorus Valley Bancorp, Inc. (Codorus Valley) (NASDAQ: CVLY), holding company of PeoplesBank, a Codorus Valley Company (PeoplesBank), today announced that the underwriters of its previously closed public offering of 1,519,000 shares of common stock have exercised in full their option to purchase an additional 227,850 shares of Company common stock at a public offering price of $19.75 per share. The Company expects net proceeds from the offering, including the exercise of the purchase option, after deducting underwriting discounts and commissions and estimated offering expenses, to be approximately $32.5 million.

Sandler O’Neill + Partners, L.P. and Janney Montgomery Scott LLC acted as joint book-running managers for the offering.
