Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
As previously reported, on November 25, 2015, NYSE Regulation, Inc. notified Noranda Aluminum Holding Corporation. (the “Company”) that trading in the Company’s common stock on the New York Stock Exchange (“NYSE”) was suspended on November 25, 2015 and that it intended to apply to the Securities and Exchange Commission to delist the Company’s common stock. On December 15, 2015, the NYSE filed a Form 25 (Notification of Removal From Listing and/or Registration Under Section 12(b) of the Securities and Exchange Act of 1934) with the SEC to delist the Company’s common stock and terminate the registration of the common stock under Section 12(b) of the Securities Exchange Act of 1934. The delisting will become effective on December 25, 2015.
