Item 8.01 Other Events.
In a press release dated December 17, 2015, PHH Corporation announced that its subsidiary, PHH Mortgage Corporation, entered into a new agreement with Bank of America, N.A. (BANA), in order to continue to provide mortgage origination services to Merrill Lynch clients. The terms of the new agreement, which is non-exclusive, commence on January 1, 2016 and expire on December 31, 2018 unless earlier terminated (i) by Bank of America, N.A., for convenience, upon 180 days’ notice or (ii) by either party, for cause, upon the occurrence of certain enumerated termination events. The current agreement will expire on December 31, 2015. A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
