Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 14, 2015, Lucinda M. Baier, a member of the board of directors of The Bon-Ton Stores, Inc. (the “Company”) since 2007, informed the Company that she will not stand for re-election at the Company’s 2016 annual meeting of shareholders (the “2016 Annual Meeting”). Ms. Baier will continue to serve as a director until the 2016 Annual Meeting. Ms. Baier advised the Company that her decision to not stand for re-election did not involve any disagreement with the Company.
