On December 9, 2015, Peter Thompson notified ProNAi Therapeutics, Inc. (the “Company”) of his decision to resign from the Board of Directors of the Company (the “Board”) and the Audit Committee of the Board, effective December 18, 2015. Dr. Thompson’s decision to resign from the Board was not the result of any disagreement with the Company. In connection with Dr. Thompson’s resignation, the Board intends to appoint Donald Parfet to serve as a member of the Company’s Audit Committee, effective as of December 18, 2015.
