Item 8.01. Other Events.

On December 11, 2015, EnerNOC, Inc. (the “Company”) completed repurchases, in cash, of $33.2 million in aggregate principal amount of its 2.25% senior convertible notes due 2019 (the “Notes”) at a weighted-average price of 59.2% of principal for a total purchase price of $19.7 million, plus accrued and unpaid interest in privately-negotiated transactions. The Company’s principal balance outstanding under the Notes, after the repurchase, is $126.8 million.

The Company may from time to time seek to retire or purchase additional outstanding debt through cash purchases and/or exchanges for equity securities, in open market purchases, privately negotiated transactions or otherwise. Such repurchases or exchanges, if any, will depend on prevailing market conditions, the Company’s liquidity requirements, contractual restrictions and other factors.
