Item 8.01 Other Events.

On December 11, 2015, Walgreens Boots Alliance, Inc. (the “Company”) and Rite Aid Corporation (“Rite Aid”) issued a joint press release announcing that the Company and Rite Aid have each received a request for additional information (“second request”) from the Federal Trade Commission in connection with the Company’s proposed acquisition of Rite Aid. The second request was issued under the notification requirements of the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended. A copy of the joint press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
