ITEM 2.03  Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of the Registrant.

On December 8, 2015, Virtual Piggy, Inc. (the “Company”) issued a $100,100 principal amount unsecured Promissory Note to Martha McGeary Snider (the “Investor”) pursuant to a Promissory Note Agreement (the “Note”).  The Investor also received a two-year Warrant to purchase 20,000 shares of Company common stock at an exercise price of $0.90 per share (the “Warrant”).  Ms. McGeary Snider is Chairman of the Board of the Company.

The Note bears interest at a rate of ten percent (10%) per annum and matures on the six (6) month anniversary of the issuance date, or on such earlier date that (i) the Company completes the closing of a specified joint venture agreement or (ii) the Company completes the sale of at least an additional $1 million of 10% Secured Convertible Promissory Notes (the “Maturity Date”).  As an additional inducement, the Investor will receive, on the Maturity Date, a commitment fee equal to seven and one-half percent (7.5%) of the original principal amount.
