Item 8.01 Other Events.
On December 10, 2015, the Board of Directors of the Company declared a special cash dividend (the “Dividend”) of $1.00 per share. The Dividend is payable on December 30, 2015 to stockholders of record as of the close of business on December 22, 2015. A copy of the Company’s press release regarding the dividend is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
