Item 8.01. Other Events.

 

On December 9, 2015, MedAssets, Inc. (the “Company”) issued a press release announcing that, on December 8, 2015, the U.S. Federal Trade Commission granted early termination of the waiting period for U.S. antitrust review under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with the proposed acquisition of the Company by an affiliate of Pamplona Capital Management LLP. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
