Item 5.02(d):
On December 7, 2015, the Board of Directors elected Peter O. Scannell, 57, to serve as a Director, for a term ending on the date of the Annual Meeting of Shareholders in 2016. Mr. Scannell has served as Chief Executive Officer of Rockwood Service Corporation, a holding company of testing and testing technology businesses based in Greenwich, CT, since 1990.
In connection with his election to the Board, Mr. Scannell was granted 1,401 Deferred Stock Units, pursuant to the 2013 Stock Incentive Plan.
A copy of the Company's press release dated December 9, 2015, is appended to this Interim Report as Exhibit 99.1.
