Item 2.02 Results of Operations and Financial Condition.

 

On December 8, 2015, the Company issued a press release containing the Company’s financial results for the third quarter of the fiscal year ending January 30, 2016 (“Fiscal 2015”), affirming a previously announced estimated range of adjusted net income per diluted share for Fiscal 2015 and providing a preliminary estimated range of adjusted net income per diluted share for the fourth quarter of Fiscal 2015. A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.

 

The information in this Current Report is being furnished pursuant to Item 2.02 of Form 8-K insofar as it discloses historical information regarding the Company’s results of operations and financial condition as of and for the third quarter of Fiscal 2015. In accordance with General Instructions B.2 of Form 8-K, such information in this Current Report on Form 8-K, including Exhibit 99.1, shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”), as amended, or otherwise subject to the liability of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.

 

Item 8.01 Other Events.

 

On December 8, 2015, the Company issued a press release announcing that its Board of Directors has authorized a new $250 million share repurchase program and has declared a quarterly cash dividend, payable on January 7, 2016 to common shareholders of record at the close of business on December 17, 2015. A copy of the press release is being furnished as Exhibit 99.2 to this Current Report on Form 8-K.
