On December 1, 2015, Shutterfly, Inc. (the “Company”) held a conference call regarding Jeffrey Housenbold’s decision to resign as President, Chief Executive Officer and a member of the Board of Directors of the Company, effective February 19, 2016 or on such later date as the Company files its annual report on Form 10-K for the year ending on December 31, 2015, but no later than March 15, 2016.
A transcript of the conference call is attached hereto as Exhibit 99.1.
