Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

At its regularly scheduled meeting on November 23, 2015, the Board of Directors of The York Water Company (the "Board") appointed a new director to the Board effective December 2, 2015. Mrs. Jody Keller, SPHR, a consultant in the areas of management, organizational development and human resources, was appointed to a class of directors with terms expiring at the 2016 Annual Meeting of Shareholders. Mrs. Keller will also be assigned to the Board's Nomination and Corporate Governance Committee.
