ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On December 2, 2015, Toys “R” Us, Inc. (the “Company”), in connection with a presentation to be made at an analyst conference, plans to disclose preliminary estimates of: (i) net sales, (ii) same store sales, (iii) gross margin, (iv) selling, general and administrative expenses and (iv) adjusted EBITDA, among other items for the third quarter of fiscal 2015, as set forth on Exhibit 99.1 (which information is incorporated by reference in this Item 2.02).
The third quarter of fiscal 2015 refers to August 2, 2015 to October 31, 2015 and the third quarter of fiscal 2014 refers to August 3, 2014 to November 1, 2014. Refer to Exhibit 99.1 for the financial information described above and a reconciliation of certain Non-GAAP financial measures included in such financial information. The preliminary estimates for the third quarter of fiscal 2015 are derived from preliminary internal financial reports and are subject to revision based on the completion of quarter-end accounting and financial reporting processes. Accordingly, our actual results may differ from these estimates and such differences may be material.
