Item 8.01. Other Events.

 

On December 1, 2015 Consumers Energy Company (“Consumers”), the principal subsidiary of CMS Energy Corporation, closed on its acquisition of a 540-MW natural gas fueled power plant located in Jackson, Michigan, for a purchase price of approximately $154.5 million, subject to post-closing working capital adjustments.  Consumers acquired the plant from AlphaGen Power, LLC and DPC Juniper, LLC, both wholly owned subsidiaries of JP Morgan Chase.  The acquisition was closed pursuant to a closing plan contained in a Purchase and Sale Agreement that was signed on December 30, 2013.
