Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 1, 2015, James J. Gaffney and Wilson B. Sexton informed the board of directors of Beacon Roofing Supply, Inc. (the "Company") that they will retire from the board effective at the expiration of their terms at the Company’s 2016 annual meeting of shareholders to be held on February 9, 2016. A copy of the press release is attached hereto as Exhibit 99.1.
