Item 1.01 Entry into a Material Definitive Agreement.

Item 3.02 Unregistered Sales of Equity Securities.


On November 18, 2015, NUMED PLUS, INC., a Utah corporation (the “Company”) issued a CONVERTIBLE DEBENTURE for $55,000 with conversion option priced at $0.25.  The Corporation is in need of additional funds to advance its business plan.  The Corporation has been in negotiations with a potential lender WLP Trust.  FOR VALUE RECEIVED, the company promises to pay to the WLP Trust, a trust organized under the laws of the State of Utah or its registered assigns (the “Holder”) or shall have paid pursuant to the negotiated terms, the principal sum of $55,000 on the maturity date or such earlier date as is required or permitted by this Debenture.  Any shares issued will be restricted and were issued under an exemption from registration under Section 4(2) of the Securities Act.
