Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 18, 2015, Mr. Philip O’Neill resigned from the board of directors of NovaCopper Inc. (the “Registrant”), effective immediately. The resignation of Mr. O’Neill was not due to any disagreement with the Registrant.
Item 7.01 Regulation FD Disclosure
On November 24, 2015, the Registrant issued a press release announcing its review of the fiscal year’s activities and a year-end corporate update. A copy of the press release is furnished as Exhibit 99.1 to this report.
