Item 1.01 Entry into a Material Definitive Agreement.
Item 8.01. Other Events.
On November 23, 2015, CommunityOne Bancorp (the “Company”) and Capital Bank Financial Corp. (“Capital Bank”) issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated as of November 22, 2015, by and between the Company and Capital Bank, pursuant to which Capital Bank and the Company will merge, subject to the terms and conditions set forth therein. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
