Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(b)      Build-A-Bear Workshop, Inc. (the “Company”) is announcing the upcoming departure of one director, effective on the date of the Company’s Annual Meeting of Stockholders in May 2016. On November 18, 2015, James M. Gould gave notice to the Board of Directors of the Company (the “Board”) of his decision not to stand for re-election to the Board when his term expires at the Company’s Annual Meeting of Stockholders in May 2016. Mr. Gould has served on the Board of Directors since the Company’s conversion to a corporation in 2000. He currently serves as Chairman of the Nominating and Corporate Governance Committee and as a member of the Compensation and Development Committee.

 

 

Item 8.01

Other Events.

 

The Company adopted a $10 million share repurchase program that was announced in February 2015 (the “February 2015 Share Repurchase Program”). The Company adopted an additional $10 million share repurchase program in July 2015 (the “July 2015 Share Repurchase Program”). Through November 17, 2015, the Company had expended an aggregate of $20 million under these two programs, repurchasing approximately 1.2 million shares of its common stock.

 

On November 19, 2015, the Board adopted a new repurchase program (the “November 2015 Share Repurchase Program”) which authorizes the Company to repurchase up to an additional $15 million of its common stock until March 31, 2016, subject to further extension by the Board. Under the November 2015 Share Repurchase Program, the Company currently intends to purchase up to $15 million of its common stock in the open market (including through 10b5-1 trading plans), through privately negotiated transactions, or through an accelerated repurchase transaction. The primary source of funding is expected to be cash on hand. The timing and amount of share repurchases, if any, will depend on price, market conditions, applicable regulatory requirements, and other factors. The program does not require the Company to repurchase any specific number of shares, and may be modified, suspended or terminated at any time without prior notice. Shares repurchased under the program will be subsequently retired.
