Item 7.01. Regulation FD Disclosure.
On November 16, 2015, Omega Healthcare Investors, Inc. issued a press release announcing the commencement of an exchange offer for $700 million of its 4.500% senior notes due 2027 issued on March 18, 2015 in a private placement. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
