Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

     On November 12, 2015, Weis Markets, Inc. (the "Company") received a notice from the New York Stock Exchange (the "NYSE") indicating that the Company is not in compliance with the NYSE's continued listing requirements under the timely filing criteria established in Section 802.01E of the NYSE Listed Company Manual as a result of its failure to timely file its Quarterly Report on Form 10-Q for the fiscal quarter ended September 26, 2015.

     As reported by the Company in its Form 12b-25 filed with the Securities and Exchange Commission (the "SEC") on November 5, 2015, the Company was unable to file the Form 10-Q by its original deadline without unreasonable effort or expense due to unexpected delays involved in the compiling of the Company's financial information to produce final financial statements and related supporting documentation. The Company requires additional time to complete a review and analysis of certain potential adjustments to its historical financial statements related to self-insurance reserves.

     The NYSE informed the Company that, under the NYSE's rules, the Company will have six months from the original due date to file the Form 10-Q with the SEC. The Company can regain compliance with the NYSE listing standards at any time before that date by filing the Form 10-Q with the SEC. If the Company fails to file the Form 10-Q before the NYSE's compliance deadline, the NYSE may grant, at its discretion, an extension of up to six additional months for the Company to regain compliance, depending on the specific circumstances. The letter from the NYSE also notes that the NYSE may nevertheless commence delisting proceedings at any time if it deems that the circumstances warrant.
