ITEM 8.01. OTHER EVENTS
On November 12, 2015, Kennedy-Wilson Holdings, Inc. (the “Company”) purchased an aggregate of 500,000 additional ordinary shares of Kennedy-Wilson Europe Real Estate plc (“KWE,” LSE: KWE) on the London Stock Exchange for a total purchase price of approximately £5.8 million (approximately $8.8 million). After the purchase of these additional shares, the Company owns approximately 18.2% of the total issued share capital of KWE. A wholly-owned subsidiary of the Company incorporated in Jersey also serves as KWE’s external manager pursuant to an investment management agreement.
