(b)                                 On November 10, 2015, Jonathan Miller notified Shutterstock, Inc. (the “Company”) of his intention to resign as a member of the Board of Directors (the “Board”) of the Company and all committees of the Board on which he served, effective immediately, in order to reduce the number of public company boards of directors on which he serves.
