Results of Operations and Financial Condition

Item 5.07.
Submission of Matters to a Vote of Security Holders

As previously disclosed, on October 9, 2015, UTi Worldwide Inc., a company incorporated under the laws of the British Virgin Islands (“UTi” or the “Company”) issued a press release announcing the entry into a Merger Agreement with DSV A/S, a Danish corporation (“DSV”), and Louvre Acquisitionco, Inc., a company incorporated under the laws of the British Virgin Islands and an indirect wholly-owned subsidiary of DSV (“Merger Sub”), providing for the merger of Merger Sub with and into the Company (the “Merger”) with the Company surviving as an indirect wholly owned subsidiary of DSV.

On November 5, 2015, the Company held a special meeting (the “Preference Shareholders Meeting”) of the holders of the series of Class A Preference Shares, with no par value, of the Company designated the Convertible Preference Shares (the “Convertible Preference Shares” and such holders, the “Preference Shareholders”). At the Preference Shareholders Meeting, the Preference Shareholders voted on the following items of business relating to the transaction with DSV and Merger Sub. The holders of the Convertible Preference Shares voted in favor of the Merger. The specific results of the matters presented at the Preference Shareholders Meeting, based on the presence of holders of all 175,000 Convertible Preference Shares entitled to vote, were as follows:

Proposal No. 1 was to waive the requirement for ten days’ notice of the Preference Shareholders Meeting. This proposal was approved as follows:

Proposal No. 2 was that the Merger Agreement, the Merger and the transactions contemplated thereby, including the payment of the applicable merger consideration to the Preference Shareholders and the subsequent cancellation of the Convertible Preference Shares are approved and adopted. Proposal No. 3 was that all actions taken and any documents or agreements executed, signed or delivered prior to or after the date hereof by any director or officer of the Company in furtherance of the consummation of the Merger or otherwise in connection with the transactions contemplated are approved, ratified and confirmed in all respects. Item 7.01.
Results of Operations and Financial Condition

UTi issued a news release dated November 9, 2015, which we refer to as the News Release, announcing updates to its earnings guidance for the full fiscal year ending January 31, 2016.
 
The News Release is attached as Exhibit 99.1 to this Current Report on Form 8-K and shall not be deemed to be “filed” for the purposes of Section 18 of the Exchange Act, or otherwise subject to the liabilities of the Section. The information contained in the News Release shall not be incorporated by reference into any registration statement or other document pursuant to the Securities Act.

Other Events

On November 3, 2015, the U.S. Federal Trade Commission (the “FTC”) notified the Company that the U.S. Department of Justice and the FTC have granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with the Merger. All other competition and U.S. government approvals are in process, with either definitive or draft filings made for all required competition approvals. The Company has filed its preliminary proxy statement with the SEC and it is working to complete the transaction with DSV as promptly as practicable, which is expected to be in the first calendar quarter of 2016, as previously announced.
