Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 30, 2015, Navigant Consulting, Inc. (the “Company”) was notified that Lucinda (Cindy) M. Baier will resign as Executive Vice President and Chief Financial Officer of the Company effective November 30, 2015.

On November 2, 2015, Thomas A. Nardi, 61, the Company’s former Executive Vice President and Chief Financial Officer, was appointed Interim Chief Financial Officer, effective upon Ms. Baier’s resignation. Mr. Nardi served as the Company’s Executive Vice President and Chief Financial Officer from November 2008 until his retirement in March 2013. Prior to that, Mr. Nardi served as President of Integrys Business Support, a wholly owned unit of Integrys Energy Group, a NYSE-listed public utility and energy company. From 2001 to 2007, he served as Executive Vice President and Chief Financial Officer for Peoples Energy. Prior to joining Peoples, Mr. Nardi spent 19 years at NICOR, one of the nation’s largest gas distribution utilities, where he held a variety of financial and strategic management roles including Corporate Controller and Treasurer. Mr. Nardi began his career in the audit practice of Arthur Andersen. Mr. Nardi received a degree in accounting from Western Illinois University and a Master’s degree in Business Administration from the University of Chicago.

The compensation that Mr. Nardi will receive in his role as Interim Chief Financial Officer has not yet been determined by the Compensation Committee of the Company’s Board of Directors, and an amendment to this Current Report on Form 8-K will be filed at a later date to disclose such compensation when a determination has been made. There are no arrangements or understandings between Mr. Nardi and any other person pursuant to which he was selected as an officer of the Company. Mr. Nardi does not have any family relationship with any director or other executive officer of the Company or any person nominated or chosen by the Company to become a director or executive officer, and there are no transactions in which Mr. Nardi has an interest requiring disclosure under Item 404(a) of Regulation S-K.
