Item 8.01. Other Events.

On November 2, 2015, the Company distributed a letter from the Company’s Chairman and Chief Executive Officer, R. Halsey Wise, to the Company’s employees regarding the proposed acquisition of the Company by an affiliate of Pamplona Capital Management LLP. A copy of the letter to employees is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
