Incorporated by reference is the quarterly report to stockholders issued by First Mid-Illinois Bancshares, Inc. (the "Company") on October 29, 2015, attached as Exhibit 99, providing information concerning the Company's financial statements and operations as of September 30, 2015.

On October 27, 2015, the Board of Directors of the Company declared a cash dividend of $0.30 per share of the Company's common stock. The dividend will be paid on December 7, 2015 to stockholders of record as of November 25, 2015.
