On October 28, 2015, Astoria Financial Corporation (the “Company”) issued a press release which, among other things, highlights the Company’s financial results for the quarter and nine months ended September 30, 2015. A copy of the press release is furnished herewith as an exhibit to this report.

Astoria further announced in its press release dated October 28, 2015 that the Board of Directors, at their October 28, 2015 meeting, declared a quarterly cash dividend of $0.04 per share. The cash dividend is payable on December 1, 2015 to shareholders of record as of November 13, 2015. A copy of the press release is furnished herewith as an exhibit to this report.
