Item 8.01. Other Events.
On October 29, 2015, Astoria Financial Corporation (the “Company”) and New York Community Bancorp, Inc. (“NYCB”) issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated as of October 28, 2015, by and between the Company and NYCB, pursuant to which NYCB and the Company will merge, subject to the terms and conditions set forth therein. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. In addition, the Company and NYCB intend to make available to investors the slides attached hereto as Exhibit 99.2, which are incorporated herein by reference.
