ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On October 28, 2015, Mid Penn Bancorp, Inc. (the “Corporation”) issued a press release discussing its financial results for the three and nine months ended September 30, 2015. Attached hereto as Exhibit 99.1 is a copy of the Corporation’s press release dated October 28, 2015.

On October 28, 2015, the Corporation’s Board of Directors declared a quarterly cash dividend of $0.12 per share of common stock payable on November 23, 2015 to shareholders of record as of November 11, 2015.
