Item 7.01 Regulation FD Disclosure.

 

During our earnings conference call on October 27, 2015, we highlighted the following outlook for the fourth quarter and full year 2015 and preliminary expectations for full year 2016.

For the fourth quarter of the year, we estimate our revenue to be approximately $520 million. We estimate solid waste price and volume growth, on a combined basis, to be about 4%. We estimate recycling, intermodal and other growth to be about 1%. We estimate revenue from E&P waste activity to be a little more than $45 million. Adjusted EBITDA is estimated to range between $171.5 million and $172.5 million. Depreciation and amortization expense is estimated to be about 12.9% of revenue.  Amortization of intangibles expense is estimated to be about $7.2 million, or almost $0.04 per diluted share. Operating income is estimated to be approximately $105 million.  We expect interest expense to be about $16.4 million. We expect our effective tax rate to be about 39.2%.  Noncontrolling interests expense is estimated to be about $200,000.  Our fully diluted share count is estimated to be about 123 million shares. We estimate the year-over-year decline in our E&P waste business to reduce earnings per share by about $0.10 per share compared to the prior year period.

 

We also updated our full year 2015 guidance, last highlighted during our earnings conference call on July 28, 2015. At the mid-point of the fourth quarter adjusted EBITDA outlook disclosed above, this would put full year adjusted EBITDA at about $707 million. We expect full year free cash flow to be between $340 million and $350 million.

 

These estimates assume no change in the current economic and operating environment, it excludes the impact of the recently signed $75 million revenue acquisition and any additional acquisitions that may close during the period, along with acquisition-related transaction costs; and it excludes any loss or gain on impairments or other operating charges.

 

We also provided preliminary expectations for full year 2016. Assuming no change in the current economic environment, we estimate revenue should range between $2.22 billion and $2.25 billion and EBITDA should range between $750 million and $760 million. These figures assume about 4% to 5% solid waste price plus volume growth, the $75 million solid waste revenue acquisition we announced in our earnings release is completed this year, and E&P waste comes in at $180 million, which annualizes the estimated $45 million quarterly revenue run-rate for E&P waste at which we expect to exit 2015. We expect capital expenditures to be about $215 million, excluding any additional capital expenditures resulting from acquisitions closed during the remainder of this year or next.

 

Adjusted EBITDA is considered a non-GAAP financial measure, and is provided supplementally because it is widely used by investors as a performance and valuation measure in the solid waste industry.  Management uses adjusted EBITDA as one of the principal measures to evaluate and monitor the ongoing financial performance of our operations.  We define adjusted EBITDA as net income, plus income tax provision, plus interest expense, plus depreciation and amortization expense, plus closure and post-closure accretion expense, plus or minus any loss or gain on impairments or other operating charges, plus other expense, less other income. The Company further adjusts this calculation to exclude the effects of other items management believes impact the ability to assess the operating performance of our business. This measure is not a substitute for, and should be used in conjunction with, GAAP financial measures.   Other companies may calculate this measure differently.
