| (1) | On October 2, 2015, an Accredited Investor converted Series B Preferred Shares into 3,500,000 shares of common stock. |
| (2) | BOU Trust completed the purchase of the Convertible Note dated March 11, 2015, held by VISTA CAPITAL INVESTMENTS, LLC, related to the funding of $110,000 provided Company on March 11, 2015, and on October 7, BOU Trust converted a portion of the VISTA Convertible Note into 1,333,333 shares of common stock. |

| (4) | On October 16, BOU Trust converted a portion of the VISTA Convertible Note into 1,739,130 shares of common stock. |
