Item 2.02.      Results of Operations and Financial Condition.

 

On October 27, 2015, Cortland Bancorp issued a news release reviewing the Company’s financial results for the quarter ended September 30, 2015. A copy of this news release is included as Exhibit 99.1 and incorporated herein by reference.

Item 8.01 Other Events.

 

In a press release issued on October 27, 2015, President James M. Gasior announced that the Board of Directors of Cortland Bancorp (the “Company”) has declared a dividend of $0.06. The dividend is payable on or after December 1, 2015 to shareholders of record as of November 10, 2015. The press release is included as Exhibit 99.2 to this current report on Form 8K.
