Item 2.02.                                        Results of Operations & Financial Condition.

On October 26, 2015, Exterran Holdings, Inc., a Delaware corporation (the “Company”), and Exterran Partners, L.P., a Delaware limited partnership, issued a joint press release announcing certain preliminary financial results for the quarter ended September 30, 2015 for the Company’s contract operations and aftermarket services businesses in the United States, as well as the international contract operations, international aftermarket services and global fabrication businesses the Company intends to distribute in the spin-off of Exterran Corporation, a Delaware corporation (“EXTN”), into a standalone, publicly traded company (the “spin-off”).  A copy of this press release is furnished as Exhibit 99.1 hereto and incorporated by reference into this Item 2.02.

The information furnished pursuant to this Item 2.02, including Exhibit 99.1, shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and will not be incorporated by reference into any filings under the Exchange Act or the Securities Act of 1933, as amended (the “Securities Act”), unless specifically identified therein as being incorporated therein by reference.
