ITEM 8.01 OTHER EVENTS.

On October 23, 2015, Tenneco Inc. (the “Company”) announced that the Company’s board of directors has expanded the Company’s share repurchase plan, authorizing the repurchase of an additional $200 million of the Company’s outstanding common stock as part of the Company’s overall capital allocation strategy. This authorization is in addition to the $350 million share repurchase program the Company announced in February 2015. The Company anticipates acquiring the shares through open market or privately negotiated transactions, which will be funded through cash from operations. The repurchase program does not obligate the Company to make repurchases within any specific time or situations, and opportunities in higher priority areas could affect the cadence of this program. A copy of the press release announcing the share repurchase program is attached as Exhibit 99.1 to this report and incorporated herein by reference.
