Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 16, 2015, Paul B. Edgerley, a founding and 20 year member of Steel Dynamics, Inc.’s Board of Directors, tendered his resignation as a director, effective immediately, on the basis of Mr. Edgerley’s conclusion that, as a result of the press of business and an increasing amount of commitments and international travel, he was unable to continue to devote his full time and attention to the discharge of his duties as a director. The Steel Dynamics Board of Directors accepted Mr. Edgerley’s resignation, with regret, and thanked him for his years of thoughtful and valuable service.
