Item 8.01 Other Events
On October 19, 2015, BNC Bancorp, the holding company for Bank of North Carolina (the “Bank”), issued a press release announcing that the Bank had closed the transaction contemplated under a Purchase and Assumption Agreement with CertusBank, N.A. dated June 1, 2015. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
