Item 8.01 Other Events.
On October 14, 2015, G. Robert Powell, the Chief Executive Officer of Blue Earth, Inc. (the “Company”) loaned the Company $310,000 (the “Loan”). The Loan is evidenced by a Promissory Note due and payable in one lump sum payment of principal, accrued interest and transaction costs upon the earlier of (i) 60 days from the date of issuance, or (b) the next completed equity or debt financing of the Company. The note bears interest at nine (9%) percent per annum and may be prepaid at any time. The Loan was made to assist the Company in meeting its payroll obligations.
