Item 1.01    Entry into a Material Definitive Agreement.

The information in Item 2.03 of this Current Report on Form 8-K is incorporated by reference into this Item 1.01.

Item 2.03    Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant. 

On October 8, 2015, Piper Jaffray Companies (the “Company”) entered into a Second Amended and Restated Note Purchase Agreement (the “Second Amended and Restated Note Purchase Agreement”) with Piper Jaffray & Co., a wholly owned subsidiary of the Company (“PJ&Co”) and certain entities advised by Pacific Investment Management Company LLC (“PIMCO”), under which PJ&Co purchased fixed rate senior unsecured notes, Class C, from the Company (the “Class C Notes”) and immediately resold the Class C Notes pursuant to Rule 144A under the Securities Act of 1933, as amended, to entities advised by PIMCO. The Class C Notes were purchased and resold by PJ&Co at a purchase price equal to 100% of their principal amount.
The Class C Notes have an aggregate principal amount of $125 million. The variable rate senior unsecured notes, Class A, with a principal amount of $50 million issued to PIMCO in 2014 (the “Class A Notes”) remain outstanding and become due on May 31, 2017. The variable rate senior unsecured notes, Class B, with a principal amount of $75 million issued to PIMCO in 2012 (the “Class B Notes”) will be repaid in full and retired on November 30, 2015.
The Class C Notes bear interest at a fixed rate of 5.06% per annum and mature 36 months after the date of issuance. Interest on the Class C Notes is payable on a biannual basis. The Class C Notes rank pari passu with the Company’s other senior unsecured debt. The Company intends to use the proceeds from the issuance of the Class C Notes for general corporate purposes.
The Class C Notes will be subject to the same covenants, events of default, and remedies as those that apply to the Class A Notes and Class B Notes, and such covenants, events of default, and remedies will otherwise remain substantially the same as described in the Company’s Current Reports on Form 8-K filed with the Securities and Exchange Commission on November 30, 2012 and June 5, 2014, which disclosure is incorporated by reference herein.
