Item 2.01 Completion of Acquisition or Disposition of Assets

On October 7, 2015, the Company entered into and completed the transaction described in a Stock Purchase Agreement (the “Purchase Agreement”) between the Company and Brent R. Butler (“Seller”).

Pursuant to the Purchase Agreement, the Company acquired all of the issued and outstanding capital stock of Butler Auto Sales and Parts, Inc., a North Carolina corporation (“Butler”) (the “Transaction”), which is engaged in the business of recycling and reselling OEM automotive parts in the state of North Carolina. The total consideration for the Transaction was $8.3 million in cash and 106,918 shares of Fenix common stock. The cash portion of the purchase price was financed through a combination of cash on hand and utilization of $2.2 million of the Company’s credit facility.

The foregoing description of the Transaction does not purport to be complete and is qualified in its entirety by reference to the full text of the Purchase Agreement, a copy of which is filed as Exhibit 2.1 to this Current Report on Form 8-K and incorporated herein by reference.

On October 7, 2015, the Company issued a press release attached as Exhibit 99.1 announcing the Transaction.
