Item 8.01 Other Events.

As we have previously disclosed, Fifth Third Bancorp (we or the “Company”) has been cooperating with the Department of Justice (“DOJ”) and the Department of Housing and Urban Development (“HUD” and together with the DOJ, the “Government”) in civil investigations in which Fifth Third made a voluntary disclosure of approximately 1,400 mortgages that it had previously certified as eligible for Federal Housing Administration insurance which were later determined to be ineligible for such insurance. As a result of the Company’s cooperation, on September 30, 2015, we entered into a Stipulation and Order of Settlement and Dismissal with the Government (the “Dismissal”) and a Settlement Agreement with HUD (the “HUD Settlement”) which was approved by the U.S. District Court for the Southern District of New York on October 5, 2015. As part of the Dismissal and HUD Settlement, we have agreed to pay approximately $85 million to the Government to cover losses on approximately 500 of the loans for which HUD had paid insurance claims and an additional $2 million to HUD, which together are within the amount that the Company had included in its reserves for this matter. The Company has also agreed to indemnify HUD for any losses related to approximately 900 loans which have not been the subject of mortgage insurance claims. The Company also reformed its business practices and terminated the employment of responsible employees. Copies of the HUD Settlement and the Dismissal are attached as Exhibits 99.1 and 99.2, respectively, and incorporated herein by reference. The description of the settlement set forth above does not purport to be complete and is qualified by reference to the full text of the HUD Settlement and the Dismissal.
