Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 2, 2015, Strategic Hotels & Resorts, Inc. (the “Company”) entered into an amendment (the “Amendment”) to the Employment Agreement, effective as of November 2, 2012 and previously amended by Amendment No. 1 on October 10, 2014 (the “Employment Agreement”), with the Company’s President and Chief Executive Officer, Raymond L. Gellein, Jr. Pursuant to the Amendment, the term of the Employment Agreement was extended until June 30, 2016. The foregoing description of the Amendment is qualified in its entirety by reference to the full text of the Amendment, a copy of which is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
